    Terms of Service

    01 / IntroductionWelcome

    Welcome to Intrinsic Code. These Terms of Service ("Terms") govern your use of intrinsiccode.com (the "Site") and the Intrinsic Code platform, products, and services (collectively, the "Service") operated by Intrinsic Code Inc. ("Intrinsic Code," "we," "us," or "our"), a C-Corporation incorporated in the State of Delaware, United States.

    By accessing or using the Site or the Service, you agree to these Terms. If you do not agree, do not use the Site or the Service.

    These Terms will evolve as the product matures. The current version reflects an early-stage product in active development; future versions will expand to cover additional product features, customer agreements, and regulated-industry obligations as those become live. Material changes will be announced on the Site with an updated effective date.

    02 / DefinitionsDefinitions

    For clarity:

    • "Site" means intrinsiccode.com and any associated subdomains operated by Intrinsic Code Inc.
    • "Service" means the Intrinsic Code platform, including the Site, the public proof repository, the agent pipeline, the Validation Receipt verification system, and any future paid product offerings.
    • "User," "you," or "your" means any person who accesses or uses the Site or the Service.
    • "Application" means a software application generated through the Intrinsic Code platform.
    • "Validation Receipt" or "Receipt" means the cryptographically-signed JSON document emitted alongside a generated Application, enumerating enforcement gates fired during generation per the Validation Receipt v0.1.1 specification.
    • "Constitution" means the Intrinsic Code Security Constitution, the internal specification governing pillar enforcement, mapping to external standards, and tier-based assurance levels.

    03 / Acceptable useAcceptable use

    You agree to use the Site and the Service lawfully and in good faith. You agree not to:

    • Use the Service for any illegal purpose or to violate any applicable law or regulation
    • Attempt to forge, counterfeit, or fraudulently produce Validation Receipts attributed to Intrinsic Code
    • Attempt to compromise, disable, or interfere with the Service, including the verification API, public signing keys, or proof repository
    • Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use
    • Reverse-engineer, decompile, or attempt to extract the source code of any portion of the Service that is not published as open source
    • Misrepresent the output, claims, or compliance status of any Application generated through the Service

    04 / IPIntellectual property

    4.1 Your inputs

    You retain all rights, title, and interest in any inputs you provide to the Service (including blueprints, conversational input to Sequoia, fixtures, and any other content you submit). By submitting inputs, you grant Intrinsic Code a limited license to process those inputs solely for the purpose of providing the Service to you.

    4.2 Generated code

    You own the source code, build artifacts, and Validation Receipts produced by the Service from your inputs, subject to the licenses of any third-party libraries or dependencies referenced in the generated code.

    4.3 Platform and brand

    Intrinsic Code retains all rights, title, and interest in the Service itself, including the agent pipeline, the Security Constitution, the Validation Receipt format and schema, the trademarks "Intrinsic Code" and "Intrinsic Code," the Site's design, and any associated documentation that has not been explicitly published under an open-source license.

    4.4 Open-source components

    Components published under an open-source license (currently including the standalone Receipt verifier in the public proof repository) are governed by the license under which they are published. Where there is conflict between these Terms and an open-source license, the open-source license governs the use of that specific component.

    05 / ReceiptsValidation Receipts and disclaimers

    Validation Receipts are cryptographically-signed compliance artifacts produced by the Intrinsic Code platform. The integrity of a Receipt — that it was signed by Intrinsic Code and has not been tampered with — can be independently verified by anyone using the published public signing keys.

    The following limitations apply to every Validation Receipt and to any compliance claim derived from one:

    A Receipt validates enforcement gates fired during generation. It does not certify:

    • Runtime behavior of the Application after deployment
    • Third-party dependency security beyond declared provenance review
    • Post-generation modifications to the Application code
    • NIAP, FedRAMP, SOC 2, MASA, or other external compliance certifications (those are separate processes performed by accredited third parties)
    • Vulnerability-free status of the Application

    External standards mappings published in the public proof repository reflect Intrinsic Code's internal review of public control text and have not yet been third-party audited. Customers using these mappings in regulated procurement should validate them independently.

    Use of a Validation Receipt as evidence in any compliance, audit, regulatory, or procurement process is at the user's discretion and risk. Intrinsic Code makes no representation that any Validation Receipt is sufficient on its own to satisfy any specific compliance regime, regulator, or third-party reviewer.

    06 / PricingPricing, payment, and subscriptions

    The Service is currently pre-launch. No paid offerings are active at the time of this version of the Terms.

    When paid offerings become available, this section will be updated to cover pricing, billing cycles, payment methods, refund policies, taxes, and any other commercial terms. Notification of such updates will be provided via the Site.

    Use of the public proof repository, the Site, the standalone Receipt verifier, and the public verification API is currently free of charge. Intrinsic Code reserves the right to introduce rate limits, usage tiers, or paid access for these resources in the future.

    07 / LiabilityLimitation of liability

    To the maximum extent permitted by applicable law:

    The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

    Intrinsic Code shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, loss of data, business interruption, or reputational harm.

    Intrinsic Code's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Intrinsic Code for the Service in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

    Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent any such exclusion is not enforceable in your jurisdiction, the relevant exclusion or limitation will apply to the maximum extent permitted by law.

    08 / IndemnificationIndemnification

    You agree to indemnify, defend, and hold harmless Intrinsic Code Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

    • Your use of the Service
    • Your violation of these Terms
    • Your violation of any law or the rights of any third party
    • Any Application generated through the Service that you deploy, distribute, or use commercially

    09 / TerminationTermination

    We may suspend or terminate your access to the Site or the Service at any time, with or without notice, for any reason, including violation of these Terms.

    You may stop using the Service at any time.

    Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive termination of these Terms.

    10 / ChangesChanges to these Terms

    We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this document and announce material changes on the Site.

    Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

    Historical versions of these Terms may be made available in our public proof repository for transparency.

    11 / Governing lawGoverning law

    These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

    12 / SeverabilitySeverability

    If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

    13 / Entire agreementEntire agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Intrinsic Code Inc. regarding the Site and the Service, and supersede any prior agreements, understandings, or representations.
